Current PTSA Bylaws

The objectives of the PTSA are to:

The PTSA Bylaws consist of 19 articles. Articles I through VII and XV through XIX, and certain sections of Articles VIII through XIV, are required by the National PTA and / or the Virginia PTA/PTSA, are not subject to changes at the local level, and therefore are not included here. They can be viewed at the Virginia PTA website. Articles VIII through XIV may be revised by local memberships. Articles for the James Madison High School PTSA are included below.

ARTICLE VIII: OFFICERS AND THEIR ELECTION

**Section 1. Each Officer of this PTA/PTSA shall be a member of this PTA/PTSA.

Section 2. Only members whose individual dues are paid to this association for the current fiscal year shall be eligible to hold office, to serve on the executive committee, the executive board, or to serve as a delegate to the council or district.

Section 3. Officers and their election:

a. The officers of this association shall consist of:

  1. One President;
  2. Two Vice Presidents;
  3. One Corresponding Secretary and one Recording Secretary;
  4. One Treasurer

b. Officers shall be elected by ballot in the month of May. However, if there is but one nominee for office, election for that office may be by voice vote. A majority of the votes cast shall constitute an election.

c. Officers, except the Treasurer, shall assume their official duties following the close of the meeting in June. The Treasurer shall assume his/her official duties upon the completion of the auditing process. Officers shall serve for a term of one year or until their successors are elected.

d. A person shall not be eligible to serve more than two (2) consecutive terms in the same office. A person who has served in an office for more than one-half of a full term shall be deemed to have served a full term in such office.

Section 4. Nominating committee:

a. There shall be a nominating committee composed of three (an uneven number, no less than three) members who shall be elected by this PTA/PSA at a regular meeting at least two months prior to the election of officers. The committee shall elect its own chairman.

b. The nominating committee shall nominate an eligible person for each office to be filled and report its nominees at a regular meeting no less than thirty (30) days prior to the election meeting. At the election meeting, additional nominations may be made from the floor.

c. Only those persons who have signified their consent to serve if elected shall be nominated for or elected to such office.

Section 5. Vacancies:

A vacancy occurring in any office shall be filled for the unexpired term by a person elected by a majority vote of the executive board, notice of such election having been given as prescribed in Article XI, Section 4. In case a vacancy occurs in the office of president, the first vice-president shall automatically become president and serve notice of the election to fill the vacancy in the office of first vice-president.

ARTICLE IX: DUTIES OF OFFICERS

Section 1. The president shall:

a. preside at all meetings of the association;

b. perform such other duties as may be prescribed in these bylaws or assigned by the association;

c. be a member ex officio of all committees except the nominating committee;

d. coordinate the work of the officers and committees or the association in order that the Objects may be promoted.

Section 2. The vice-president(s) shall:

a. act as aide(s) to the president;

b. in their designated order, perform the duties of the president in the absence or inability of that officer to act.

Section 3. The recording secretary shall:

a. record the minutes of all meetings of the association;

b. have a current copy of the bylaws;

c. maintain a membership list as required by the Virginia PTA/PSA;

d. perform other delegated duties as assigned.

Section 4. The corresponding secretary shall:

a. Perform those duties related to written correspondence as assigned by the president.

Section 5. The treasurer shall:

a. have custody of all funds of the association;

b. keep a full and accurate account of receipts and expenditures;

c. make disbursements as authorized by the president, executive board, or association in accordance with the budget adopted by the association;

d. remit by December 1 to Virginia PTA/PSA state office, state and National PTA dues for memberships received prior to December 1. Remit by March 1, dues received after December 1 and remit by June 30, all state and National dues received after March 1.

e. have checks or vouchers signed by two officers, preferably the treasurer and the president;

f. present a written financial statement at every meeting of the association and at other times when requested by the executive board;

g. make a full report at the meeting at which new officers officially assume their duties (usually the annual meeting);

h. have the accounts examined according to the auditing procedures outlined in Article VI.

Section 6. All officers shall perform the duties outlined in these bylaws and those assigned from time to time. Upon the expiration of the term of office or in case of resignation, each officer shall turn over to the president, without delay, all record, books, and other materials pertaining to the office.

ARTICLE X: EXECUTIVE COMMITTEE

The executive committee shall consist of the elected officers of the association. This committee may meet at any time after its election to formulate plans, draft a budget, organize association business, and discuss issues pertinent to the association or the school.

ARTICLE XI: EXECUTIVE BOARD

Section 1. The executive board shall consist of the officers of the association and the chairmen of standing committees. The principal of the school or his/her designee and a representative appointed by the principal or elected by the faculty also may serve on the executive board. The chairmen of the standing committees shall be appointed by the officers of the association not more than thirty (30) days following the election of officers.

**Section 2. A PTA member shall not serve as a voting member of a constituent organization’s board at the local, council, district, region, state or national level while serving as a paid employee of, or under contract to, that constituent organization.

Section 3. The duties of the executive board shall be:

a. to transact necessary business in the intervals between association meetings and such other business as may be referred to it by the association;

b. to create standing and special committees;

c. to approve the plans of work of the standing committees;

d. to present a report at the regular meetings of the association;

e. to select a professional auditor or an auditing committee to audit the treasurer’s accounts;

f. to approve routine bills within the limits of the budget.

Section 4. Regular meetings of the executive board shall be held during the school year, the time to be fixed by the board at its first meeting of the year. A majority of the executive board members shall constitute a quorum. Special meetings of the executive board may be called by the president or by a majority of the members of the board, five days’ notice being given.

ARTICLE XII: MEETINGS

Section 1. Regular meetings of the association shall be held on the second Monday of each month during the school year, unless otherwise provided by the association or by the executive board, five days’ notice having been given.

Section 2. Special meetings of the association may be called by the president or by a majority of the executive board, five day’s notice having been given.

Section 3. The election meeting shall be held in May.

Section 4. Ten members, as defined in Article V, Section 11, shall constitute a quorum for the transaction of business in any meeting of the association.

Section 5. Voting on routine matters may be by voice vote; however, votes on the bylaws or amendments, adoption of a budget or adoption of a project shall be by a vote of PTSA members present, with the vote being counted and recorded in the minutes.

ARTICLE XIII: COMMITTEES

Section 1. Only members of this association shall be eligible to serve in any elective or appointive positions.

Section 2. The executive board may create such standing committees as it may deem necessary to promote the Objects and carry on the work of the association. The term of each chairman shall be one year or until the selection of a successor.

Section 3. The chairman of each standing and special committee shall present a plan of work to the executive board for approval. No committee work shall be undertaken without the consent of the executive board.

Section 4. The power to form special committees and appoint their members rests with the president and the executive board.

Section 5. The president shall be an ex-officio member of all committees except the nominating committee.

Section 6. Committee chairmen shall turn over to the president, without delay, all records, books and other materials pertaining to the committee at the end of the term served or when departing office.

ARTICLE XIV: COUNCIL MEMBERSHIP

Section 1. Selection of delegates:

a. The association shall be represented in meetings of the Fairfax County Council of Parent-Teacher Associations by the president or alternate, and/or the principal or alternate, and/or by one delegate or his/her alternate. All representatives to a council must be members of a local unit.

b. Delegates and their alternates shall be appointed or elected in May.

c. Delegates to the Fairfax County Council of PTAs shall serve for a term of one year or until the selection of a successor.

Section 2. This association shall pay annual dues as prescribed in council bylaws to the Fairfax County Council of PTAs.

Section 3. Responsibilities of Delegates:

a. Delegates shall report activities of the council to the local unit and shall present to the council such matters as may be referred to it by the local unit.

b. Delegates shall vote on all issues as instructed by their association; but if not instructed, they shall use their own discretion, except as provided by council bylaws.
